PanAtlas BV, located at Coolsingel 104 in Rotterdam, is a service provider in the field of aircraft rental, airline tickets and related travel services.

CONCEPTS

The assignment:
The assignment comprises the agreement between the traveler and PanAtlas, whereby PanAtlas undertakes to provide services to the traveler through a service provider in the field of travel, in the broadest sense of the word.

The service provider:
The carrier, accommodation provider, tour operator and/or other suppliers in the field of travel, in the broadest sense of the word, with whom the traveler enters into an agreement and who, in compliance with the applicable terms and conditions, is responsible for the performance of the service.

The traveler:
a. The client, or
b. the person for whose benefit the services provided by PanAtlas have been agreed upon and who has accepted that agreement.

Working Days:
Monday to Friday from 9:00 AM to 5:00 PM and Saturday from 10:00 AM to 4:00 PM, excluding public holidays, unless PanAtlas explicity indicates that different opening hours apply. For emergencies, PanAtlas is open 24/7.

TERMS AND CONDITIONS

1. PanAtlas provides travel services on behalf of the traveler. These booking terms and conditions apply to all services provided by PanAtlas.

2. PanAtlas establishes an agreement between you and the service provider you choose. PanAtlas is not a party to the final agreement. Therefore, PanAtlas acts solely as an intermediary.

3. PanAtlas is not liable for the correct execution of the services booked through it. These are usually subject to the terms and conditions of the relevant service provider. PanAtlas is, however, responsible for the careful execution of the services it provides itself, such as providing accurate advice and correctly processing the reservation. However, PanAtlas can never be held liable for the consequences of a full or partial failure to perform by any party for whom PanAtlas acts or has acted as an intermediary. Furthermore, PanAtlas accepts no liability in a dispute between a service provider and a traveler for the actions and/or omissions of the service provider, traveler, or their agent.

4. The traveler is fully liable to both PanAtlas and the service provider for the obligations arising from the services provided by PanAtlas. Other travelers are liable for their share.

5. An order is deemed to have been placed after verbal or written acceptance of a quote. The traveler is immediately bound by the applicable terms and conditions towards PanAtlas and the service provider, regardless of whether confirmation is provided immediately. If possible, the traveler can have any errors in the confirmation corrected by PanAtlas within 24 hours of receipt. PanAtlas or the service provider may charge a fee for this.

6. PanAtlas reserves the right to revoke a price within one business day of placing the order, regardless of whether PanAtlas has already sent confirmation of the reservation. In such a case, PanAtlas is not obligated to pay any compensation.

7. Each order is accepted subject to the timely obtaining of the necessary official permits and approvals.

8. Any cancellations or changes to an existing order can only be made on business days and only at the request of the traveler. Any associated costs will be charged. These may include, in addition to the cancellation or change fees charged by the service provider, any costs incurred by PanAtlas to effectuate the cancellation or change.

9. Any negative travel advisories from the Ministry of Foreign Affairs do not primarily constitute valid grounds for free cancellation; the conditions in clause 8 will apply. PanAtlas will do its utmost to reschedule flights, accommodations, and/or transfers to another time or, if possible, cancel them in consultation. However, no guarantees can be given for this.

10. The same conditions as stated in clauses 8 and 9 apply to canceling a booked trip, regardless of the reason. Any necessary cancellation and change costs for travel services such as flights, accommodations, transfers, etc., will be charged to the traveler in the event of an early return.

11. PanAtlas has the right to terminate the agreement due to compelling circumstances. “Significant circumstances” are defined as circumstances of such a nature that PanAtlas cannot reasonably be expected to remain bound by the agreement.

12. PanAtlas will exercise the due care of a responsible contractor in its work. Should PanAtlas unexpectedly fail to perform its duties and the traveler suffers damage as a result (including damage due to loss of enjoyment of the trip), PanAtlas’ liability will be limited to a maximum of 100% of the invoiced services.

13. Liability for damage against which the traveller is insured (for example through travel and/or cancellation insurance, or health insurance), as well as liability for damage suffered by the traveller in the exercise of a profession or business (including damage due to missed connections or not arriving at the destination on time), is excluded.

14. PanAtlas is not responsible for any commitments made by its personnel and/or third parties that clearly deviate from the conditions stated in these terms and conditions or in the terms and conditions of the responsible service provider. The exclusions and limitations of liability contained in this article also apply to the personnel of PanAtlas and/or any third party engaged by them.

15. All communications from PanAtlas or the service provider will be directed exclusively to the traveler.

16. If PanAtlas has indicated in the agreement that a particular flight will be operated nonstop or with stopovers, the operating airline always has the right to make (unscheduled) stopovers or to cancel them for operational or safety reasons. PanAtlas is not liable for any resulting damage of any kind.

17. In the event of unexpected bankruptcy/revocation of the flight permit/suspension of payments of a service provider, PanAtlas is in no way liable for any resulting damages.

18. If a fee is due for a service provided by PanAtlas itself, PanAtlas will announce this in advance.

19. The prices of reserved services may be changed in accordance with the service provider’s terms and conditions. These changes will be communicated and passed on as soon as possible.

20. Changes and adjustments in legal regulations that lead to an increase in taxes, levies, etc., even if this occurs retroactively, will be fully charged to the traveler.

21. All payments within the term(s) stated on the agreement and/or invoice will be credited by the traveler to the bank account designated for this purpose by PanAtlas, in the specified currency and without any offset or deduction of costs.

22. PanAtlas is authorised – if necessary in the name and on behalf of the relevant service provider(s) – to collect the amounts due.

23. If the payment is not made or not made on time, the traveler is in default and the order is deemed cancelled, unless the terms and conditions of the service provider(s) involved stipulate otherwise. However, cancellation does not release the traveler from the payment obligation, and all resulting costs will be borne by the debtor. In addition, PanAtlas will charge the debtor a monthly interest rate of 3% of the invoice amount. If applicable, the traveler is obligated to reimburse any judicial or extrajudicial collection costs.

24. PanAtlas is entitled to offset.

25. Any refunds will be made exclusively to the traveler.

26. PanAtlas is entitled at all times to request security from the traveler for compliance. If the traveler cannot provide the required security, PanAtlas is entitled to cancel the order without being liable for any damages.

27. Complaints and claims regarding a reservation made by PanAtlas can be submitted to PanAtlas in writing by the traveler up to one month after the end of the reserved service or, if the trip did not take place, up to one month after the original departure date stated in the travel documents. PanAtlas will provide a substantive written response no later than one month after receiving the complaint.

28. PanAtlas will ensure that the travel agreement is executed in accordance with the traveler’s reasonable expectations based on the
agreement. If a specific component cannot be executed in accordance with the agreements and the traveler has notified PanAtlas of this immediately, PanAtlas will ensure that the agreement is executed in accordance with the agreements. This applies unless this is impossible or involves such high costs that the traveler cannot reasonably expect PanAtlas to do so.

29. If a significant portion of the services cannot be provided, PanAtlas will provide suitable alternatives of at least equivalent quality without charging any costs.

30. Any claim regarding the services provided by PanAtlas will expire one year after the end of the reserved service or, if the trip did not take place, one year after the original departure date.

31. PanAtlas is not liable for damage resulting from a malfunction or defect in the automated systems it uses for the provision of its services, if this malfunction or defect cannot reasonably be attributed to it or is beyond its sphere of influence.

32. If transport is part of the package and your return on the agreed date cannot be arranged due to force majeure, you are entitled to a maximum of
three free nights in equivalent accommodation, if possible.

33. Obvious errors and mistakes do not bind PanAtlas.

34. PanAtlas is not liable for general information in or on photos, brochures, advertisements, websites and other information carriers, if these have been prepared or published under the responsibility of third parties.

35. The traveler is always responsible for providing the information necessary to make and process a correct reservation. This includes, for example, providing the correct name, address, city, date of birth, nationality, etc.

36. If the traveler causes or could cause such a nuisance or inconvenience that the proper execution of the travel agreement is or could
be impeded, PanAtlas may exclude the traveler from the trip (or the remainder of the trip) if the traveler cannot reasonably expect PanAtlas to continue fulfilling the agreement. Any resulting costs will be borne by the traveler. Furthermore, the traveler is obligated to avoid and minimize any damage to their own side.

37. The traveler is obliged to ascertain the exact time of departure no later than 24 hours before the indicated time of departure.

38. PanAtlas will provide the traveler with general information tailored to Dutch nationality regarding passports, visas, and any health-related formalities no later than when the order is placed. However, the traveler is always responsible for possessing the correct travel documents (including passport, visa, driver’s license, green card, and/or vaccination certificates). The traveler must obtain any necessary additional information from the relevant authorities and also check in advance of departure whether the previously obtained information has changed.

39. If the traveller cannot make the trip (in full) due to the lack of any (valid) document, this and all associated consequences will be at his/her own expense, unless PanAtlas has agreed to provide that document and the lack thereof can be attributed to him/her or PanAtlas has failed to fulfil its
information obligation referred to in provision 38.

40. PanAtlas will provide the traveler with information about the possibility of purchasing travel insurance and cancellation insurance. However, the traveler is responsible for arranging comprehensive insurance against cancellation, damage, liability, and accidents at their own expense and risk.

41. Unless the agreement(s) and/or General Terms and Conditions of PanAtlas contradict these, all transactions are subject to the terms of delivery, the General Terms and Conditions, the contract and/or transport conditions of the service provider(s) and/or agency(ies) appointed by PanAtlas.

42. If any part of the General Terms and Conditions or the agreement is void or voidable, this will not affect the validity of the remaining part of the General Terms and Conditions or the agreement. In place of the void or voidable part, the legally permissible part will be that which comes closest to what the parties would have agreed to if they had been aware of the voidness or voidability.

43. Dutch law applies to all transactions of PanAtlas. This also applies if PanAtlas is considered a tour operator under Dutch law, but sells a package tour from a foreign tour operator. Only a Dutch court has jurisdiction to hear these disputes, unless another court has jurisdiction based on mandatory rules.
